Description
Modal verb taxonomy — applies to every contract review and redline analysis: SHALL — Mandatory obligation. Non-compliance = breach. Use ONLY for enforceable duties. WILL — Statement of intent / future action. Weaker enforceability. Courts may read as intention, not duty. WOULD — Conditional or hypothetical. Never acceptable in operative clauses.
